Job summary

LH Law Group in Columbus, OH is seeking a Business & Transactional Attorney to lead our non-litigation practice. This full-time, in-office role reports to the Managing Attorney and focuses on drafting, advising, and solving corporate matters for diverse clients.

You will form LLCs and corporations across OH/MI/PA, draft operating and purchase agreements, negotiate leases and asset deals, and implement governance structures while embracing AI and legal tech to deliver flat-fee services.

Qualifications

• J.D. and active Ohio law license in good standing.
• 5–8 years of business/corporate/real estate or transactional experience.
• Experience drafting operating agreements, purchase agreements, and commercial contracts.
• Confidence advising business owners face-to-face.
• Strong drafting and attention to detail.
• Ability to move a high volume of matters efficiently under flat fees.
• Comfort using AI and legal tech in daily practice.

Responsibilities

• Form LLCs and corporations in OH, MI, PA: articles, operating agreements, EINs, etc.
• Draft operating agreements and bylaws, incl. Series LLCs and succession plans.
• Handle member exits with resignations and assignments.
• Draft and negotiate asset purchase agreements and closing documents.
• Review contracts, vendor agreements, and amendments.
• Draft and negotiate commercial leases for landlords and tenants.
• Build succession and buy-sell plans for owner transitions.

The Role:

We're hiring a Business & Transactional Attorney to run our non-litigation business practice. Full-time, in our Columbus office, reporting to Managing Attorney Allison Harrison.

Here's the deal: the practice area has grown a lot and keeps growing. We need a dedicated attorney to handle it! This job is for a lawyer who loves the work: drafting, advising, and fixing problems before they turn into lawsuits. We handle the business of running a law firm. You handle the law.

What You’ll Do:

Start companies (and keep them running)

• Form LLCs and corporations in Ohio, Michigan, and Pennsylvania: articles, operating agreements, EINs, the works
• Draft operating agreements and bylaws, including Series LLCs and succession plans
• Handle member exits with resignations, membership interest assignments, and written consents
• Draft and negotiate asset purchase agreements, plus the closing paperwork nobody else wants to touch (bring-down certificates, consents)
• Review contracts, vendor agreements, and the amendments to the amendments
• Draft and negotiate commercial leases for landlords and tenants
• Build succession and buy-sell plans so owners know exactly what happens when they retire, exit, or pass away

Calm things down before they blow up

• Help business partners work out disputes through better governance documents or informal mediation
• Write demand letters that actually get a response
• Respond to consumer complaints from the Ohio Attorney General, the Better Business Bureau, and private attorneys

Keep clients compliant

• Advise on vehicle sales and finance, environmental, and employment compliance
• Draft employee handbooks and employment agreements
• Guide employers through employee issues and terminations

Work smart, not long

• Meet with clients and gather what each matter needs
• Use AI, document automation, and our intake systems to deliver flat-fee work fast, and tell us when you find a better tool
• Review work from our transactional support staff
  

What You Won't Do: Litigate. When a dispute is headed to court, it goes to our litigation team, and you stay looped in where you're helpful. No trials, administrative hearings, or discovery. Not even a little..

What You Bring:

Must have

• A J.D. and an active Ohio law license in good standing
• 5 to 8 years of business, corporate, real estate, or transactional experience
• Real experience drafting operating agreements, purchase agreements, and commercial contracts
• Confidence advising business owners face-to-face
• Sharp drafting and an eye for detail (you notice when "heretofore" sneaks into a draft, and you delete it)
• The ability to move a high volume of matters efficiently under flat fees
• Real comfort using AI and legal tech in your daily practice, plus the curiosity to keep learning what's next

Nice to have

• Experience with car dealers, consumer protection (CSPA), or dealer compliance
• Employment law know-how: handbooks, terminations, and employment agreements
• Experience running your own practice (and the realization that you'd rather not)
• Hands-on experience with Clio, document assembly, or building your own automations

The Details:

Title: Business & Transactional Attorney

Schedule: Full-time, W-2. 1,100 required hours a year. Yes, really.

Location: In-office, 175 S. Third St., Columbus, Ohio

Reports to: Allison Harrison, Managing Attorney

Pay: $80,000 - $100,000 base salary, plus 30% of everything you bill and collect above 3.2x your salary.
