Job summary

Nuveen seeks a Transaction Counsel CPACE to support origination, closing and asset management of C-PACE financing transactions from $10,000,000+. The role may also assist with capital market transactions and other lines of business as needed.

This in-house position requires drafting financing agreements, performing diligence, reviewing closing documents, tracking tasks and coordinating recordation of closing documents.

Qualifications

  • Doctoral Degree in Law is required.
  • 3+ years of work experience; 5+ years preferred in law firm or in-house representing commercial real estate lenders.
  • Experience with C-PACE financing, commercial real estate lending and related agreements.

Responsibilities

  • Drafting commercial C-PACE financing and related agreements.
  • Performing legal due diligence on C-PACE transactions, including review of capital stacks, environmental status, borrower documents, and title work.
  • Reviewing closing, conveyancing, loan, and corporate resolution documents.
  • Tracking transaction tasks, parties, and key dates; communicating progress to the team.
  • Tracking and following up on post-closing matters; coordinating recordation of documents.
  • Conducting basic legal and business research; supporting development of new lines of business.
  • Supporting capital market transactions undertaken by the Company as needed.

Transaction Counsel CPACE

The Transaction Counsel is an in-house legal opportunity to assist with the origination, closing and asset management components of C-PACE financing transactions from $10,000,000+. In addition, the Transaction Counsel may, from time to time, be asked to assist Nuveen Green Capital with capital market transactions and possible other lines of business outside of C-PACE financing transactions.


Key Responsibilities and Duties

  • Drafting commercial C-PACE financing and related agreements
  • Similar responsibilities as needs dictate
  • Performing legal diligence on C-PACE transactions, including, as needed: review of capital stacks for new development transactions, review of environmental status and documents, review of borrower organization documents, title work, condominium documents, lease agreements, contractor installation agreements, etc.
  • Reviewing closing, conveyancing, loan, and corporate resolution documents in connection with transactions
  • Tracking transaction tasks, parties, and key dates, and communicating progress to team as issues and tasks are resolved.
  • Tracking and following up on post-closing matters
  • Coordinating recordation of C-PACE closing documents, amendments, and other documents to be recorded
  • Conducting basic legal and business research
  • Assisting with the research, development, and roll out of new lines of business
  • Supporting capital market transactions undertaken by the Company as needs dictate

Posting Details

  • Anticipated Posting End Date: 2026-09-19
  • Base Pay Range: $126,000/yr - $196,000/yr
  • Actual base salary may vary based upon, but not limited to, relevant experience, time in role, base salary of internal peers, prior performance, business sector, and geographic location.
  • In addition to base salary, the competitive compensation package may include, depending on the role, participation in an incentive program linked to performance (for example, annual discretionary incentive programs, non-annual sales incentive plans, or other non-annual incentive plans).
