Job summary

The position is for a mid-level Associate Attorney in a leading Technology Transactions Practice Group. The role focuses on high-impact IP and technology-related commercial transactions for cutting-edge clients globally.

The attorney will draft, review, and negotiate software, licensing, development, services, distribution, and strategic partnership agreements, and manage IP aspects of M&A and equity financing in a fast-paced environment.

Qualifications

• JD from a top-tier law school with an excellent academic record.
• Coursework in IP, technology, and/or commercial law.
• Active Bar Admission in California, in good standing.
• 3–6 years of substantive experience with intellectual property (IP) and commercial transactions in a law firm setting.
• Demonstrated experience structuring, drafting, and negotiating complex IP and technology-related agreements.
• Experience handling the IP aspects of mergers and acquisitions (M&A) and equity financing transactions.
• Ability to manage multiple deal streams in a fast-paced environment.
• Excellent research, writing, analysis, and communication skills, strong business acumen, and meticulous attention to detail.

Responsibilities

• Draft, review, and negotiate a wide range of technology and IP agreements, including software, tech, and content licensing
• Structure, draft, and negotiate complex IP and technology-related agreements, including licensing, development, services, distribution, and strategic partnerships
• Handle the IP aspects of mergers and acquisitions (M&A) and equity financing transactions
• Manage multiple deal streams in a fast-paced environment
