Job summary

Goodwin Procter LLP is seeking a mid-level Associate for its Technology IP Transactions & Strategies group. The role focuses on licensing, technology transactions, IP due diligence for M&A, and drafting joint development and collaboration agreements.

Experience with SaaS licenses, services agreements, and distribution contracts is preferred. The ideal candidate will have strong academic credentials, a pending or current bar admission, and excellent written and verbal communication skills.

Technology IP Transactions – Mid-Level Associate

Goodwin seeks a highly qualified mid-level associate to join our Intellectual Property Transactions & Strategies group. Candidates must have solid experience in technology and intellectual property licensing and other technology transactions, as well as in IP support of (including intellectual property and technology due diligence in) M&A and other corporate transactions. Additionally, candidates should have experience in drafting and negotiating joint development, collaboration, and other strategic alliance agreements; technology and intellectual property licenses and services agreements (including software as a service agreements); and distribution agreements (including OEM and VAR and other reseller agreements). Demonstrated experience with open-source software license terms and intellectual property issues presented by artificial intelligence technology and tools is strongly preferred.

Candidates applying for associate positions with Goodwin should have outstanding academic credentials, comparable law firm experience, and excellent written and verbal communication skills. Relevant bar admission (or eligibility to obtain admission promptly) and deal sheet is required.
