Qualifications

• Experience in IP/tech transactions, venture capital, M&A, or general corporate.
• Excellent drafting and organizational skills.
• Ability to learn quickly in a dynamic emerging companies environment.

Responsibilities

• Structure, draft, and negotiate venture capital financings and private offerings.
• Lead components of M&A transactions, including term sheets and due diligence.
• Manage cap tables and stock option matters.
• Serve as day-to-day outside counsel on corporate matters.
• Collaborate across tech transactions, fund formation, IP, and capital markets.
• Assist with product development and scaling advice.
• Monitor market developments affecting emerging companies.
• Contribute to a collegial team culture.
