The role involves drafting and negotiating licenses for joint development, collaboration, and distribution arrangements, including SaaS and OEM/VAR structures, with a strong emphasis on open-source terms and AI-related IP matters.

Qualifications

Required experience in technology and intellectual property licensing and other technology transactions, along with IP support and due diligence for M&A and corporate transactions.
Experience drafting and negotiating joint development, collaboration, strategic alliance, technology and intellectual property licenses (including software as a service), and distribution agreements (including OEM, VAR, and other reseller agreements).
Strong preference for demonstrated experience with open-source software license terms and intellectual property issues presented by artificial intelligence technology and tools.

Responsibilities

Draft and negotiate joint development, collaboration, strategic alliance, technology and IP licenses.
Draft and negotiate distribution agreements including OEM and VAR.
Advise on open-source license terms and AI-related IP issues.
