Qualifications

  • Bachelor's degree in Accounting, Finance, Taxation, or a related discipline.
  • Minimum of 5 years of progressive tax experience in public accounting, legal, real estate, private equity, asset management, or corporate tax environments.
  • Strong technical knowledge of partnership taxation and U.S. corporate tax concepts.

Responsibilities

  • Manage federal, state, local, and international tax compliance for partnerships and corporate entities.
  • Coordinate with outside advisors and internal stakeholders for timely tax return preparation and filing.
  • Oversee investor tax reporting, including taxable income allocations, tax basis tracking, and distribution reporting.
  • Monitor partnership tax matters and complex allocation/basis adjustments.
  • Support tax planning and structuring initiatives related to acquisitions, dispositions, restructurings, and other transactions.
  • Assist with transaction due diligence and evaluate tax implications across investment lifecycle.
  • Participate in REIT compliance activities and related testing/monitoring.
  • Review tax provisions, estimated tax calculations, withholding obligations, and reporting requirements.
  • Partner with Legal, Finance, Treasury, and Accounting on structuring and governance.

Job description

Our client is seeking a Tax Manager to join its Strategic Private Capital tax team. This individual will play a critical role supporting complex partnership structures, real estate investments, joint ventures, and institutional capital relationships. The position offers significant exposure to tax compliance, investor reporting, transaction support, and tax planning initiatives while partnering closely with Finance, Accounting, Legal, Treasury, and external advisors.

Key Responsibilities
  • Manage federal, state, local, and international tax compliance processes for a variety of partnership and corporate entities.
  • Coordinate with outside advisors and internal stakeholders to ensure timely and accurate tax return preparation and filing.
  • Oversee investor tax reporting, including taxable income allocations, tax basis tracking, capital account maintenance, and distribution reporting.
  • Monitor partnership tax matters, including Section 704(b), Section 743(b), and other complex allocation and basis adjustment considerations.
  • Support tax planning and structuring initiatives related to acquisitions, dispositions, recapitalizations, restructurings, and other strategic transactions.
  • Assist with transaction due diligence and evaluate the tax implications of investment activity throughout the lifecycle of the investment.
  • Participate in REIT compliance activities, including asset testing, income testing, distribution analysis, and ongoing monitoring of operational activities.
  • Review tax provisions, estimated tax calculations, withholding obligations, and other reporting requirements.
  • Partner with Legal, Finance, Treasury, and Accounting teams on entity structuring, tax elections, governance matters, and implementation of business initiatives.
  • Support investor-facing tax matters involving institutional, tax-exempt, domestic, and international investors.
  • Stay informed of legislative and regulatory developments and assess their impact on existing structures and future transactions.
  • Drive process improvements and help enhance tax reporting, compliance, and operational efficiency across the organization.
Qualifications
  • Bachelor's degree in Accounting, Finance, Taxation, or a related discipline.
  • Minimum of 5 years of progressive tax experience within public accounting, legal, real estate, private equity, asset management, or corporate tax environments.
  • Strong technical knowledge of partnership taxation and U.S. corporate tax concepts.
  • Experience supporting complex investment structures, joint ventures, partnerships, or real estate-related entities.
  • Understanding of REIT concepts and compliance requirements preferred.
  • Experience working with multiple stakeholders in a fast-paced, deadline-driven environment.
  • Excellent analytical, communication, and project management skills.
  • Ability to effectively communicate complex tax matters to both tax and non-tax professionals.
Preferred Qualifications
  • CPA, JD, MST, or other advanced tax credential.
  • Big Four public accounting experience.
  • Real estate, REIT, infrastructure, asset management, or private capital experience.
  • Experience supporting institutional investors, investment funds, or alternative investment structures.
  • Exposure to tax reporting for foreign and tax-exempt investors.
  • Experience supporting significant transactional activity, including acquisitions and restructurings.
