Job summary

Kutak Rock LLP’s Denver office is seeking a corporate attorney for its Corporate Finance/Tax Credit Group, focusing on NMTC and RETC financings, debt, equity, real estate, and renewable energy.

The role offers growth in a collaborative, professional environment with exposure to seasoned partners and a busy docket; prior NMTC or tax credit experience is preferred but not required.

Qualifications

• Juris Doctorate from an ABA-accredited law school.
• Licensed to practice law in the United States in good standing.
• 2+ years’ experience in structured finance, tax credits, or real estate law preferred.
• LLM in taxation is a plus but not required.

Responsibilities

• Conduct due diligence and prepare diligence checklists and memoranda for NMTC and RETC transactions.
• Draft, review, negotiate operating agreements, loan and security documents, leases, guarantees, and resolutions.
• Negotiate and structure complex financings, restructurings, and exit arrangements.
• Assist senior tax attorney with research and memoranda on tax code changes.
• Attend conference calls and collaborate with clients on transactional issues.
