Job summary

Paralel Technologies, a FinTech firm redefining the back office for asset managers, is seeking a Sr. Investment Counsel to join our Legal team.

You will provide comprehensive legal counsel to Paralel and lead a team serving mutual funds, ETFs, and closed-end funds, reporting directly to the General Counsel in a hybrid Denver, CO office. You will draft and review regulatory filings, act as fund officer, and guide governance and contract negotiations with brokers, clients, vendors, and service

Qualifications

• J.D. and active U.S. bar license required.
• 4+ years of experience with registered funds under the Investment Company Act of 1940.
• Experience with regulatory filings and securities law requirements.
• Strong communication with internal and external stakeholders.
• Willingness to obtain CO license preferred.

Responsibilities

• Advise Paralel on general legal matters and regulatory frameworks (SEC/FINRA).
• Serve as fund officer and primary counsel for client funds (mutual funds, ETFs, interval funds, closed-end funds).
• Act as executive officer to Paralel’s registered investment companies and series trusts.
• Draft/regulatory filings under the 1940 Act and related laws (Forms N-1A, N-2, N-CSR, N-PX, DEF 14A).
• Collaborate for fund board meetings and coordinate with directors and advisers.
• Attend fund board meetings as fund secretary.
• Lead launch of new ETFs and investment funds, managing registration steps.
• Negotiate and draft distribution, underwriting, and participant agreements.
• Negotiate, draft, and manage contracts with clients, vendors, and service providers.

Role Overview

Paralel is seeking a Sr. Investment Counsel to join our Legal team. The right candidate will be able to provide legal counsel for Paralel and lead a team that serves the legal needs of a variety of mutual fund, exchange-traded fund, and closed-end fund clients. Reporting directly to the General Counsel, you will lead critical legal and operational initiatives, with the opportunity to use your expertise to drive Paralel’s and our team’s success. This position follows a hybrid work schedule based out of our Denver, CO office; however, remote candidates may be considered based on their qualifications and experience.

Job Responsibilities

• Serve as a primary legal advisor to Paralel, providing actionable guidance on a range of general legal matters and across regulatory frameworks under the U.S. Securities and Exchange Commission (SEC), Financial Industry Regulatory Authority (FINRA), and other securities laws.
• Serve as fund officer, primary counsel and client contact for the day-to-day legal operations of client funds, including mutual funds, ETFs, interval funds and closed-end funds.
• Serve as an executive officer to Paralel’s registered investment companies and series trusts.
• Draft and review regulatory filings required under the Investment Company Act of 1940 (1940 Act), Investment Advisers Act, Securities Act of 1933 and Securities and Exchange Act of 1934 for filing with the SEC, including Forms N-1A, N-2, N-CSR, N-PX, and DEF 14A, among others.
• Collaborate in preparation for fund board meetings, coordinating closely with the board of directors, investment advisers, and internal Paralel teams.
• Attend and present at fund board meetings as fund secretary.
• Lead the launch of new ETFs and investment funds, managing all steps of the registration process.
• Negotiate and draft distribution, underwriting agreements, selling agreements and authorized participant agreements with large broker-dealers and wire houses.
• Negotiate, draft, and manage contracts with clients, vendors, and service providers.

Skills and Qualifications

• Juris Doctor (J.D.) degree from an accredited law school and active bar membership in at least one U.S. jurisdiction (preferably Colorado, or willingness to obtain a CO license)
• Minimum of 4 or more years of experience working with registered funds under the Investment Company Act of 1940, with a securities law or regulatory filing background
• Knowledge of broker/dealer and FINRA requirements preferred
• Excellent verbal and written communication skills and strong ability to communicate with a wide audience (both internal and external), including daily client interactions
• Excellent attention to detail and strong multi-tasking skills
• Proficient in Microsoft Office products, comfortable working with new technology
• Ability to work in a team environment and take ownership on individual projects with little to
