Job summary

BCG Attorney Search is seeking a Transactional Business Attorney for a full-time, on-site role in Annapolis, MD. The attorney will oversee a team and contribute to growing the firm's transactional practice.

Responsibilities include drafting, reviewing, and negotiating contracts; advising on business terms and risk; leading due diligence for M&A; and mentoring junior attorneys and paralegals. This is a leadership-focused position for a driven attorney with strong negotiation and governance

Qualifications

• JD from an accredited law school.
• 5+ years of corporate and transactional law experience.
• Strong negotiation, communication, and interpersonal skills.
• Leadership or management experience preferred.
• Ability to manage multiple projects autonomously in a fast-paced environment.

Responsibilities

• Draft, review, and negotiate commercial contracts, including vendor agreements and NDAs.
• Advise stakeholders on legal risks and business terms related to transactions.
• Lead M&A activities, including due diligence and deal structuring.
• Ensure compliance with corporate governance and regulatory requirements.
• Collaborate with cross-functional teams such as finance and operations.
• Manage and mentor junior attorneys and paralegals.
• Develop strategies to grow the business transactional practice.
• Coordinate with external counsel for specialized legal matters.
• Monitor changes in laws and regulations impacting the business.
