Lexsy is hiring a Senior Startup Lawyer to advise startups and investors on emerging company and venture capital matters. You will own client relationships and complex legal work, using Lexsy to support efficient delivery.

You will guide company formations, governance, and investor negotiations, working closely with founders and venture teams. The role emphasizes practical counsel, attention to detail, and responsible use of Lexsy and AI tools.

Qualifications

Responsibilities

• Oversee company formations, founder agreements, bylaws, and initial governance.
• Lead venture financings including SAFEs, convertible notes, and priced rounds.
• Advise on board approvals, equity plans, and ongoing governance.
• Counsel on SaaS agreements, licensing, vendor contracts, and data privacy.
• Support due diligence and deal execution for growth-stage clients.
• Manage client relationships as a trusted adviser to founders, executives, investors.
• Use Lexsy and approved AI tools while maintaining confidentiality and judgment.

We are hiring a Senior Startup Lawyer to advise startups and investors on emerging company and venture capital matters. You will own client relationships and complex legal work, using Lexsy to support efficient delivery.

What You'll Do

• Company formations: Oversee entity setup, founder arrangements, bylaws, and initial governance.
• Venture financings: Lead SAFEs, convertible notes, and priced rounds from Seed through Series B and beyond, including investor negotiations.
• Corporate governance: Advise on board and stockholder approvals, equity plans, and ongoing corporate compliance.
• Technology transactions: Advise on SaaS agreements, licensing, vendor contracts, and privacy or data matters, involving specialists where appropriate.
• M&A support: Support due diligence, purchase agreements, and transaction execution for growth-stage clients.
• Client relationships: Serve as a trusted adviser to founders, executives, and investors.
• Use Lexsy and approved AI tools while retaining responsibility for legal judgment, accuracy, and client confidentiality.

What We're Looking For

• 5+ years of substantive emerging companies and venture capital experience at a leading firm such as Cooley, Wilson Sonsini, Gunderson Dettmer, Goodwin, Fenwick, Orrick, or an equivalent practice.
• JD or equivalent legal education and active membership in a US state bar; California or New York admission preferred.
• Strong knowledge of Delaware corporate law and startup governance.
• Experience leading priced equity financings and negotiating venture financing documents.
• Ability to independently manage client relationships and exercise sound legal judgment.
• Excellent attention to detail and clear, practical communication.
• Comfort using Lexsy, AI tools, and equity management platforms such as Carta.

Preferred Experience

• Experience working directly with founders, startups, or venture funds.
• In-house, startup operator, or founder experience.
• Interest in improving how legal services are delivered through thoughtful use of technology.
• A practical, empathetic approach to helping founders make decisions.
