Job summary

Fontainebleau Development LLC in Aventura, Florida is seeking a General Counsel to partner with the President and executive team, leading real estate acquisitions, development and financing with strong structuring, negotiation, and documentation of complex transactions.

Qualifications

• Juris Doctor from an accredited law school.
• Active Florida Bar membership or eligibility and willingness to obtain it (including Authorized House Counsel).
• 12+ years of legal experience, with experience at a top-tier law firm and/or in-house with a real estate developer, owner, or investor.
• Deep experience structuring, negotiating, and documenting real estate financing transactions (construction and acquisition loans, mezzanine debt, JV equity).
• Strong drafting skills and ability to manage complex transaction documentation from term sheet through closing.
• Working knowledge of employment and labor law and advising management on workforce matters.

Responsibilities

• Lead real estate acquisitions, dispositions, joint ventures, and development projects from term sheet to closing.
• Structure, negotiate, and document construction loans, acquisition financing, mezzanine debt, and equity.
• Draft and negotiate purchase agreements, loan documents, guaranties, inter-creditor agreements, JV agreements, and leases.
• Oversee due diligence, title/review, zoning, and closing documentation.
• Manage lender and investor relationships and compliance with loan covenants.
