Job summary

GreenWaste is seeking an experienced Senior Legal Counsel to join its in-house legal team in San Jose, CA. This high-impact role focuses on commercial transactions, corporate governance, regulatory compliance, and strategic initiatives, partnering with executive leadership.

The position requires a J.D., California bar, and 8+ years of legal experience (in-house preferred). You will draft and negotiate complex agreements, manage outside counsel, and lead process improvements across the legal

Qualifications

• J.D. from an accredited law school.
• Active membership in a U.S. state bar; California Bar admission or eligibility for in-house counsel registration within 6 months.
• Minimum of 8 years of relevant legal experience.
• Prior in-house experience strongly preferred; combination of law firm and in-house experience highly valued.

Responsibilities

• Draft, review, and negotiate a wide range of commercial agreements (customer/municipal, vendor, real estate, NDAs, MOUs, LOIs).
• Provide practical, risk-balanced contract guidance aligned with business objectives.
• Support mergers, acquisitions, and other strategic transactions; assist with regulatory filings as applicable.
• Provide counsel on corporate governance and entity management.
• Serve as trusted advisor to senior leadership; contribute to business development and growth initiatives.
• Regulatory and compliance matters; employment and labor considerations in coordination with HR/legal specialists.
• Real estate, licensing, marketing, and intellectual property; translate legal concepts into practical guidance.
• Monitor and advise on applicable laws with emphasis on California; manage outside counsel; oversee budgeting and matter tracking.
