Job summary

Coinbase is seeking an experienced Senior Counsel, Shareholder Litigation to lead defense of securities class actions and derivative litigation. You will manage pleadings, discovery, and settlements while advising senior leadership and the board on litigation risk.

You will oversee coordination with internal legal teams and outside counsel, monitor developments in corporate law, and guide governance and disclosure practices.

Qualifications

• 7+ years of litigation experience with securities class actions, shareholder derivative litigation, or related complex civil litigation.
• Deep familiarity with corporate law, including fiduciary duties and the Securities Laws.
• Experience litigating in Delaware Chancery Court.
• Familiar with PSLRA and federal securities pleading standards.
• Proven track record managing outside counsel and D&O insurance matters.
• Active US bar membership (state) and good standing.

• Own day-to-day management of securities class actions under the 1933 Act and 1934 Act, including pleadings, discovery, motions, expert work, and settlements.
• Lead defense of shareholder derivative litigation, including pre-suit demand letters.
• Partner with corporate and commercial teams on filings and related issues.
• Manage and direct outside litigation counsel from inception to resolution.
• Monitor evolving corporate law and advise on governance and disclosure implications.
• Coordinate with D&O insurers and brokers to manage claims.

As a Senior Counsel, Shareholder Litigation on the Litigation team, you'll manage and drive Coinbase's defense across securities class actions, shareholder derivative suits, and related complex civil litigation. This team sits within Legal - Litigation and handles some of the highest-stakes disputes the company faces, from federal securities claims to corporate governance disputes. You'll serve as the primary in-house point of contact for these proceedings, shaping strategy from pleadings through resolution and advising senior leadership and the board on litigation risk.

What you'll do:

• Own the day-to-day management of securities class actions brought under the Securities Act of 1933 and the Securities Exchange Act of 1934, including pleadings strategy, discovery, motions practice, expert work, and settlement negotiations.

• Lead the defense of shareholder derivative litigation, including pre-suit demand letters and attendant matters.

• Partner cross-functionally with corporate and commercial legal teams on a variety of issues including public company filings.

• Manage and direct outside litigation counsel from case inception through resolution, including pleadings strategy, discovery, motions practice, expert work, and settlement negotiations.

• Monitor developments in corporate law and other relevant jurisdictions and proactively advise on how emerging case law may affect the company's governance structures, disclosure practices, or litigation posture.

• Build and maintain relationships with D&O insurance carriers and brokers to manage the claims process.

Required Skills and Experience:

• 7+ years of litigation experience with meaningful time spent on securities class actions, shareholder derivative litigation, or related complex civil litigation at a leading law firm and/or in-house.

• Deep familiarity with corporate law, including fiduciary duty standards and the Securities Laws.

• Experience litigating in Delaware Chancery Court.

• Familiar with the Private Securities Litigation Reform Act (PSLRA), applicable pleading standards, and the procedural landscape for securities class actions in federal court.

• Proven track record managing outside counsel strategically and resolving high-stakes litigation efficiently, including experience with D&O insurance structures and coverage.

• Juris Doctor from an accredited law school and active membership in a US state bar in good standing.

• Utilizes generative AI responsibly, maintaining human oversight to deliver business-ready outputs and drive measurable improvements in workflow efficiency, cost, and quality.

$224,995—$264,700 USD
