Job summary

Our client, a leading proprietary trading and financial services organization, seeks an attorney to join its U.S. team to support strategic business initiatives.

The role partners with Legal, Finance, Tax and Operations on entity management, governance, and cross-cutting tax matters. Based in Chicago with a hybrid schedule, the attorney will advise on transfer pricing, cost allocations, intracompany structures, and draft a variety of commercial agreements.

Qualifications

• Juris Doctorate and active bar membership required.
• 6+ years advising on entity management, corporate governance and tax matters.
• In-house experience in financial services or multi-entity environments preferred.

Responsibilities

• Provide legal advice on corporate and commercial matters, entity formation, intracompany operations, organizational structures, and tax-related issues.
• Conduct research on corporate law, entity structures, transfer pricing and internal transactions.
• Draft, review, and negotiate vendor, technology, trading, lease and other commercial contracts.
• Provide guidance on tax-sensitive transactions and corporate activities to support business operations.
• Collaborate with Finance and Tax teams on entity structures, cost allocation frameworks, and transfer pricing.
