Job summary

Jimerson Birr seeks a Senior Business Advisory & Transactional Attorney to own day-to-day execution of transactions and governance matters. You will translate ambiguity into structured plans, mentor others, and ensure work aligns with client objectives and JB standards.

As a senior attorney, you’ll lead complex deals, supervise diligence, and guide executives on fiduciary duties, while maintaining timelines, budgets, and quality across matters.

Qualifications

• 5+ years in business transactions, corporate law, or M&A.
• JD and active Florida Bar membership.
• Demonstrated ability to draft clean, reliable documents and manage deal processes.

Responsibilities

• Lead full lifecycle of deals from scoping through closing with structured timelines and risk management.
• Draft, review, and negotiate operating agreements, bylaws, asset/stock purchase agreements, and related documents.
• Advise on governance, fiduciary duties, entity formation, restructurings, and dissolution.
• Direct diligence, coordinate advisors, and manage closing checklists and data room hygiene.
• Mentor junior attorneys and paralegals; reinforce matter plans and workflows.
• Maintain time, SLA, and budget discipline to keep matters on plan and budget.
