Job summary

BCG Attorney Search in Birmingham, Michigan seeks a Corporate Attorney with 8–10 years of corporate and securities experience to join its Corporate Practice Team. The attorney will support corporate clients and provide key assistance in securities law matters, including governance and capital markets.

You will advise public company clients on capital markets, mergers and acquisitions, corporate governance, and related contracts, while mentoring associates and contributing to business

Qualifications

• Juris Doctor degree from an accredited law school.
• 8-10 years of relevant corporate law experience.
• Expertise in securities law, including 1933 and 1934 Acts.

Responsibilities

• Serve as securities and corporate governance counsel for public company clients.
• Provide practical counsel on time-sensitive matters for public company clients.
• Assist with public capital market transactions and private placements.
• Stay current on securities law and regulatory requirements.
• Represent clients in mergers, acquisitions, and business combinations.
• Draft, review, and negotiate commercial contracts and business agreements.
• Advise on entity formation, corporate governance, and business counseling.
• Mentor and collaborate with associates on securities and corporate matters.
• Manage client relationships and contribute to business development.
