Qualifications

• 4+ years of corporate paralegal experience in BigLaw or elite mid-market firms.
• Demonstrated strength in M&A transactions and venture-backed company support.
• Strong familiarity with fund formation processes.

Responsibilities

• Support M&A transactions from LOI to closing, both buyer and seller-side.
• Manage ECVC financings including stock issuances and cap tables.
• Assist in fund formation matters including regulatory filings.
• Draft and coordinate transaction documents and closing sets.
• Maintain cap tables, equity records, and corporate governance.
• Prepare state and federal regulatory filings.
• Coordinate multi-party closings and signature packets.
• Liaise between attorneys, clients, and external stakeholders.
