Job summary

Bank of America is seeking an experienced attorney to provide legal counsel and manage corporate governance for the Board of Directors, the U.S. Office of the Corporate Secretary, and related subsidiaries.

You will help drive governance processes, interface with operations partners, and guide complex regulatory matters. The role requires leadership of cross-functional teams, independently handling time-sensitive governance issues, and delivering clear, risk-aware legal guidance to senior

Qualifications

• 10+ years as attorney with corporate governance experience
• Active license to practice law in at least one state or DC
• Understanding of US public company governance rules, regulations and Delaware law
• Experience advising financial institutions or international corporations on governance
• Experience advising boards and senior management on governance matters

Responsibilities

• Analyzes legal issues and implications on corporate functions
• Communicates clear, concise, actionable legal advice to leadership
• Interprets rulings, laws, and regulations
• Drafts, reviews, and negotiates complex legal documents
• Gathers, assesses, and evaluates information to make informed judgments
