Job summary

Caterpillar in Irving, TX is seeking a Senior Corporate Counsel M&A to support the Strategic Investments Group and Venture Capital funding initiatives. You will lead due diligence, draft and negotiate definitive agreements, and advise on deal structures throughout the M&A process.

The role requires a J.D., active U.S. bar admission, and significant experience in contract drafting for M&A transactions, including lead attorney experience. Domestic relocation assistance is available.

Qualifications

• J.D. from an accredited law school with strong academic credentials.
• Active Bar admission in any U.S. state.
• Significant legal experience in contract drafting and negotiations on M&A transactions, ideally as lead attorney.
• Contract drafting and negotiations on Venture Capital transactions also preferred.

Responsibilities

• Review/negotiate Non-Disclosure Agreements with potential targets.
• Lead due diligence review of a potential target with SMEs for M&A/venture capital transactions.
• Prepare materials for executive review regarding deal structure and risks.
• Draft/negotiate definitive agreements such as asset purchase/stock purchase/joint venture/venture capital funding agreements.
• Draft and negotiate ancillary agreements such as leases, employment agreements, supply agreements.
• Support business unit attorney on integration related legal issues in a transaction.
• Lead/participate/manage process improvement initiatives.
• Provide training to transaction managers/subject matter experts.

We have an exciting opportunity for a Senior Corporate Counsel M&A to provide legal support for Caterpillar’s Strategic Investments Group (for M&A transactions) and Caterpillar’s Strategy and Business Development Group (for Caterpillar’s Venture Capital funding initiatives). The attorney will be part of a group of attorneys who provide legal support during every aspect of the M&A process and Venture Capital funding process.

What You Will Do:

• Review/negotiate Non-Disclosure Agreements with potential targets
• Lead due diligence review of a potential target, which includes working closely with several subject matter experts designated for M&A/venture capital transactions
• Prepare materials for executive review regarding deal structure and risks
• Draft/negotiate definitive agreements such as asset purchase/stock purchase agreement/joint venture agreements/venture capital funding agreements
• Work alongside the business unit attorney in drafting and negotiating ancillary agreements such as leases, employment agreements, supply agreements, etc.
• Support business unit attorney on integration related legal issues involved in a transaction
• Lead/participate/manage process improvement initiatives
• Provide training to transaction managers/subject matter experts necessary to support Caterpillar’s M&A process
• Maintain positive relationships with the senior management of the organizations supported
• Nature of Interactions: Daily interaction with transaction managers and senior managers of business clients; Close collaboration with legal services colleagues across several teams (e.g., business unit attorneys, SMEs from regulatory, litigation and real estate); Management of outside counsel

What You Have:

• Decision Making and Critical Thinking: Knowledge of the decision-making process and associated tools and techniques; ability to accurately analyze situations and reach productive decisions based on informed judgment.
• Effective Communications: Understanding of effective communication concepts, tools and techniques; ability to effectively transmit, receive, and accurately interpret ideas, information, and needs through the application of appropriate communication behaviors.
• Managing Multiple Priorities: Knowledge of effective self-management practices; ability to manage multiple concurrent objectives, projects, or activities, making effective judgments as to prioritizing and time allocation.
• Problem Solving: Knowledge of approaches, tools, techniques for recognizing, anticipating, and resolving problems; ability to apply knowledge of problem solving appropriately to diverse situations.

Degree and Experience Requirements:

• J.D. from an accredited law school with strong academic credentials
• Active Bar admission in any U.S. state
• Must have significant legal experience in contract drafting and negotiations on M&A transactions ideally as the lead attorney
• Contract drafting and negotiations on Venture Capital transactions also preferred

Summary Pay Range:

$177,720.00 - $266,590.00
