Responsibilities

  • Lead and direct highly complex EPC contract negotiations with senior stakeholders.

  • Serve as the primary commercial lead for RFP processes and discussions with counterparties.
  • Review counterparty comments and provide risk mitigation recommendations to stakeholders.
  • Develop procedures for handover of executed agreements to internal teams.
  • Draft, analyze, and negotiate all EPC terms and conditions to protect company interests.
  • Provide arbitration support to project execution teams during the construction phase.

Salary Range:

The full pay range for this role i s $107,200 to $178,600 annually, and the good faith estimated starting pay for this position upon hire is $128,610 to $150, 045 annually. W e generally base our salary decisions on factors including but not limited to, relevant work and leadership experience, education, demonstrated performance, internal equity, and in some cases, geographic location.


Scope of Job:

The Senior Contracts Manager, EPC will take a lead role in the strategic development, negotiation, and comprehensive management of Engineering, Procurement, and Construction (EPC) contracts. This position is critical in mitigating contractual risks, optimizing commercial terms, and ensuring robust contract governance throughout the project lifecycle, while driving continuous improvement and best practices across the organization.


Responsibilities


  • Strategic EPC Contract Negotiation & Risk Management

    • Lead and direct highly complex and high-value EPC contract negotiations, skillfully managing commercial terms, scope, schedule, and pricing to achieve optimal outcomes and mitigate organizational risk.

    • Drive cross-functional strategic alignment with Legal, Engineering, Procurement, Construction, Commercial, and Finance teams to develop comprehensive negotiation strategies and ensure all contractual aspects are thoroughly vetted and integrated.

    • Serve as the primary commercial lead for critical RFP processes and discussions with counterparties, shaping proposals and responses to maximize competitive advantage.

    • Critically review, evaluate, and strategically address counterparty's commercial comments, providing expert recommendations and risk mitigation strategies to internal stakeholders.

    • Develop, implement, and continuously refine robust procedures for the seamless handover of executed agreements to internal teams, ensuring clear understanding of contractual obligations and deliverables.

    • Expertly draft, analyze, and negotiate all commercial terms and conditions within EPC contracts and related agreements, ensuring legal compliance and protection of company interests.

    • Provide expert contractual guidance and arbitration support to project execution teams, resolving complex issues and managing claims throughout the construction phase.



  • Advanced Contracts Governance & Portfolio Management

    • Develop, implement, and enforce comprehensive contract governance frameworks to ensure consistency, compliance, and optimal commercial positioning across the entire project portfolio.

    • Establish and continuously optimize standardized processes and best practices for contract negotiation, execution, and administration to enhance efficiency, reduce risk, and improve overall contract performance.

    • Serve as a key advisor and subject matter expert to internal departments on the strategic implications of contractual terms, ensuring seamless integration and proactive risk awareness across the project value chain (upstream and downstream impacts).

    • Curate and manage a comprehensive, secure library of standardized contract templates, master service agreements, and related documentation, ensuring legal compliance, commercial effectiveness, and ease of access.

    • Conduct in-depth analysis of commercial decisions across the project portfolio to identify trends, inform future contracting strategies, and promote consistency in approach.



  • Strategic Process Optimization & Innovation

    • Lead and champion strategic initiatives aimed at transforming and continuously improving the entire contract lifecycle management process, focusing on efficiency, risk reduction, and value enhancement.

    • Drive the evaluation, selection, and implementation of advanced contract management systems and digital tools to streamline contract processes, enhance data analytics, and improve collaborative workflows.

    • Serve as a thought leader in EPC contracting, actively researching and integrating emerging industry trends, legal developments, and technological advancements to drive competitive advantage and foster a culture of innovation.

    • Mentor and develop junior contract professionals, fostering best practices and continuous learning within the team

Working Conditions : 100% of time is spent in the office environment, with frequent use of various Microsoft Office Suite.


Qualifications

Qualifications & Experience :


  • A minimum of six years' experience in contract negotiation and contract management preferably in the solar or construction industry.

  • Experience negotiating, reviewing, and editing complex engineering, construction and procurement contracts.

  • Capable of managing numerous, challenging work assignments simultaneously (with attention to detail) under aggressive deadlines in a fast-paced environment, and willing to work extended hours when necessary.

  • Strong oral and written communication skills, by openly communicating, actively listening, challenging ideas and processes, and setting reasonable expectations to achieve the best possible outcome. This includes the ability to effectively advise colleagues and team members on commercial risks and issues.

  • Excellent relationship-building skills.

  • Team player with the ability to work well with colleagues and team members to foster creativity and leverage individual strengths.

  • Superior decision-making and problem-solving skills and demonstrated ability to exercise sound business judgment.

  • Experience with project or contract management software such as Procore, Malbek.


Education


  • Bachelor's degree in business administration or related discipline.

  • Law degree is a plus (but not required).

  • Legal background in either a law firm or corporate setting is preferred.

  • Ability to conduct negotiations and find solutions in a constructive manner.

  • Excellent analytical and problem-solving skills with respect to conflicting interests.

  • Strong sense of ownership and responsibility, a strong work ethic, ability to work independently and as part of a team.

  • Must be detail oriented and demonstrate excellent organizational skills, including the ability to deal effectively with competing priorities and deadlines, and handling multiple tasks in a fast-paced environment; and

  • Excellent oral, written, and MS Office Suite (Word) and document control skills.
