OpenText, The Information Company, seeks a commercial Sr. Contracts Manager to join our in-house legal team.

You will negotiate and draft a wide range of technology agreements—software licenses, hosted/cloud products, and professional services—to support North American sales activity and strategic initiatives. In this role you will advise on risk, update templates, create efficiencies, and partner with cross-functional teams.

Qualifications

  • JD required from an accredited institution.
  • Membership in at least one US state bar preferred.
  • 4+ years of contract negotiations experience, preferably technology.
  • Experience in a legal department or law firm handling commercial matters.
  • Knowledge of IT sector and data privacy/security a plus.
  • Hands-on experience drafting and negotiating software licensing, hosted/cloud product agreements, professional services, and maintenance agreements.
  • Background supporting multiple business functions including sales, marketing, development.

YOUR IMPACT

OpenText is seeking a commercial Sr. Contracts Manager to join our in-house legal team performing commercial transactional for an established but growing line of business. This is a diverse role that will require negotiating and drafting a wide variety of commercial technology agreements in support of various North American-region sales activity, including cloud services agreements, software licenses, and professional services. The role is also one of trusted Legal advisor supporting a growing and dynamic line of business, and working with cross-functional groups, researching novel product offerings, and handling escalations are also key components of this position. In this capacity the successful candidate is expected to perform analysis and provide guidance on company transactions as well as new go-to-market products, evaluate risk, update templates, create efficiencies, create and deliver training, and manage projects of benefit to the Legal team and department. Use of AI and the ability to support a business leaning heavily into this field is also an important part of this position.

What You Need To Succeed
  • Interest in learning new technologies and business models; vision to create new templates and streamline processes; and willing to make recommendations and participate in the decision-making process.
  • Juris Doctor degree from an accredited institution.
  • Membership in at least one US state bar preferred.
  • Strong experience working in a legal department or a law firm handling commercial matters.
  • 4+ years previous experience conducting contract negotiations, preferably concerning technology.
  • Enthusiastic, hard-working, enjoy working in a team environment and confident working at a senior level with lawyers and other professional colleagues.
  • Experience doing business with regulated industries, and understanding or interest in data privacy/ data security a plus.
  • Solid “hands on” experience drafting, negotiating and providing guidance on a wide variety of agreements; particularly in software licensing, hosted/ cloud based product agreements, professional services contracts, and maintenance and support agreements.
  • Knowledge of working within the IT sector and assisting sales executives on commercial and sales transactions. Work with GenAI systems, contracting, and regulation strongly preferred.
  • Background in contract support for a variety of business functions including sales, marketing, development and other internal clients.
  • Ability to advise management on risks across the business and strategies for mitigation.

Salary Range:

$116,200-174,200 ; Depending on the candidate’s education, experience, skills, geographical location, and alignment with internal equity and external market, actual salary may vary and be higher or lower than the range posted.
