Job summary

Westinghouse Electric Company is seeking a Senior Contracts Consultant to serve as the Legal & Compliance contact for sales activities for assigned customers, located at the Cranberry Township, PA site with a 100% Hybrid Work Schedule. You will support contract strategy, negotiations, and daily advisement across the contract lifecycle.

The role requires 5+ years in contract analysis/management, risk assessment, and related disciplines, with travel up to 10%.

Qualifications

  • 5+ years' experience in contract analysis, contract management, commercial sales support, project/risk management, engineering or related discipline.
  • Up to 10% travel to support contract negotiations or meetings with other Westinghouse partners.
  • Experience advising on commercial contracting, risk assessment, legal terms and conditions, corporate/ legal compliance requirements and contract lifecycle practices.
  • Experience with sales contracts, NDA's, licensing, teaming agreements, and global business practices preferred; nuclear industry knowledge a plus.

Responsibilities

  • Analyze customer contracting requirements to assess commercial, legal, and technical risks including warranty, delivery/risk of loss, payment terms, and limits of liability and recommend practical contract positions and risk mitigation strategies.
  • Support the development and implementation of intellectual property and proprietary information provisions to protect Westinghouse interests in the global marketplace.
  • Support customer negotiations of contract terms and conditions.
  • Complete the Contract Review Evaluation Tool (CRET), and Risk Assessment Worksheets on behalf of Legal, and assist BU partners with developing appropriate risk mitigation responses.
  • Assist BU Sales leads with materials and recommendations for management approvals of contract positions, including deviations from Westinghouse Baseline contracting principles, under our LOA process.
  • Support preparation and negotiation of complementary agreements, including NDAs, licensing agreements, teaming agreements, master services or frame agreements, and commercial settlement agreements; assist procurement with supplier flowdown requirements.
  • Perform final reviews of contract documents to support order acceptance and advise on identified concerns, including required additional approvals.
  • Advise on authorized signatories and prepare powers of attorney documents when needed.
  • Support the order turnover/contract handover process; prepare contract summary documents and job aids for BU commercial and project personnel.
  • Resolve new contract issues identified during project execution by coordinating with Legal & Compliance, BUs and other groups.
  • Collect and analyze contract trends, customers positions, competitor practices, and lessons learned and provide feedback to Legal & Compliance leads.

About The Role

As a Senior Contracts Consultant, you will be the Legal and Compliance (L&C) contact for sales activities for assigned customers. You will support the Business Unit (BU) Sales personnel with customer contracting strategies at the offer development stage, during customer contract negotiations, and with daily contract advisement. You will report to the Global Contracts Americas Manager and be located at our Cranberry Township, PA site. 100% Hybrid Work Schedule.

Key Responsibilities

  • Analyze customer contracting requirements to assess commercial, legal, and technical risks including warranty, delivery/risk of loss, payment terms, and limits of liability and recommend practical contract positions and risk mitigation strategies.

  • As part of the customer contract analyses activities, complete the Contract Review Evaluation Tool (CRET), and Risk Assessment Worksheets on behalf of Legal, and assist BU partners with developing appropriate risk mitigation responses.
  • Assist BU Sales leads with materials and recommendations for management approvals of contract positions, including deviations from Westinghouse Baseline contracting principles, under our Limits of Authority (LOA) process.
  • Support preparation and negotiation of complementary agreements, including NDAs, licensing agreements, teaming agreements, master services or frame agreements, and commercial settlement agreements. Assist procurement personnel with assessing customer flowdown requirements in supplier contracts.
  • Perform final reviews of contract documents to support the order acceptance process and advise on identified concerns, including required additional approvals.
  • Advise on authorized personnel to sign contract documents on behalf of the applicable Westinghouse company entity and help prepare powers of attorney documents when needed.
  • Support the order turnover/contract handover process. Prepare contract summary documents and job aids. These documents and aids help BU commercial and project personnel understand contract obligations, risks, and administration requirements throughout the contract lifecycle.
  • Support resolution of new contract issues identified during project execution by coordinating with Legal & Compliance, BUs and other groups.
  • Collect and analyze contract trends, customers positions, competitor practices, and lessons learned and provide feedback to Legal & Compliance leads for applicable policies and guidance.

We are committed to transparency and equity in all of our people practices. The base salary range for this position, which is dependent upon experience, qualifications and skills, is estimated to be $85,200 to $106,500 per year.
