Beacon Hill Staffing Group, LLC on behalf of its client seeks an experienced Commercial Attorney (Technology Transactions) for a short-term in-house assignment in Raleigh, NC. You will draft, review, and negotiate MSAs, SOWs, and related commercial agreements while partnering with sales, procurement, and finance teams.

Qualifications

• J.D. and active U.S. bar license required.
• 3+ years of legal experience.
• In-house experience strongly preferred.
• Experience drafting, reviewing, and negotiating commercial agreements (MSAs, SOWs, vendor and professional services agreements).
• Experience supporting technology, professional services, SaaS or similar environments.
• Ability to manage multiple priorities and work independently in a fast-paced environment.
• Strong communication and business partnering skills.

Responsibilities

• Draft, review, and negotiate Vendor Agreements.
• Draft, review, and negotiate Professional Services Agreements.
• Draft, review, and negotiate Partnership and Alliance Agreements.

• Identify and address contractual risks related to data privacy, cybersecurity, and AI.
• Provide practical, business-focused legal advice to move deals forward.
• Support contract negotiations from initial review through execution.

This short-term contract assignment will provide coverage for an in-house legal team and support the review, drafting, and negotiation of commercial agreements while partnering with internal business stakeholders.

Responsibilities

• Draft, review, and negotiate: Master Services Agreements (MSAs)
• Statements of Work (SOWs)
• Vendor Agreements
• Professional Services Agreements
• Partnership and Alliance Agreements
• Partner with sales, procurement, finance, and business teams to support commercial transactions.
• Identify and address contractual risks related to data privacy, cybersecurity, and AI-related matters.
• Provide practical, business-focused legal advice to help move deals forward.
• Support contract negotiations from initial review through execution.
