Beacon Hill Legal is seeking an experienced Commercial Attorney (Technology Transactions) for a short-term in-house contract with a financial services organization. You will review, draft, and negotiate commercial agreements, partnering with internal stakeholders to advance deals.

Required JD and active U.S. bar, 3+ years of experience, and in-house experience preferred. Strong negotiation and business partnering skills are essential for success in a fast-paced environment.

Qualifications

• J.D. and active U.S. bar license.
• 3+ years of legal experience.
• In-house experience strongly preferred.
• Experience drafting, reviewing, and negotiating commercial agreements.
• Experience supporting technology, professional services, SaaS, or similar environments preferred.
• Ability to manage multiple priorities independently in a fast-paced setting.

Responsibilities

• Draft, review, and negotiate MSAs.
• Prepare Statements of Work (SOWs).
• Negotiate Vendor and Professional Services Agreements.
• Handle Partnership and Alliance Agreements.
• Collaborate with sales, procurement, finance and business teams on transactions.
• Identify contractual risks related to data privacy, cybersecurity, and AI.
• Provide practical legal advice to move deals forward.
• Support contract negotiations from initial review to execution.

This short-term contract assignment will provide coverage for an in-house legal team and support the review, drafting, and negotiation of commercial agreements while partnering with internal business stakeholders.

Responsibilities

• Draft, review, and negotiate: Master Services Agreements (MSAs)
• Statements of Work (SOWs)
• Vendor Agreements
• Professional Services Agreements
• Partnership and Alliance Agreements
• Partner with sales, procurement, finance, and business teams to support commercial transactions.
• Identify and address contractual risks related to data privacy, cybersecurity, and AI-related matters.
• Provide practical, business-focused legal advice to help move deals forward.
• Support contract negotiations from initial review through execution.

Qualifications
