Jobot seeks an experienced Private Corporate Securities Attorney in Miami to lead public and private securities offerings, advise on SEC reporting and governance, and grow a sophisticated practice within a collaborative, entrepreneurial firm.

Ideal candidates hold a J.D., Florida Bar for 8+ years in securities/capital markets, with a portable book of business strongly preferred and exceptional drafting, negotiation, and client-relations skills.

Qualifikationen

• J.D. from an accredited law school and active Florida Bar admission (or ability to waive in).
• Extensive experience (typically 8+ years) in securities and capital markets law.
• Portable book of business strongly preferred.
• Deep knowledge of federal securities laws and SEC regulations.
• Proven ability to manage complex transactions and client relationships.
• Strong drafting, negotiation, and analytical skills.
• Entrepreneurial mindset with a collaborative approach.

Aufgaben

• Structure and lead public and private securities offerings, including equity and debt transactions
• Advise clients on SEC reporting and compliance, including Exchange Act filings and disclosure requirements
• Counsel clients on corporate governance, SEC regulations, and securities law compliance
• Represent issuers, investors, and financial institutions in capital markets transactions
• Provide strategic guidance on mergers, acquisitions, and other corporate transactions with securities implications
• Drive business development initiatives and maintain strong client relationships
• Mentor and supervise associates and contribute to the growth of the corporate and securities practice
