Job summary

The role involves drafting and reviewing filings, representing issuers and underwriters in offerings, advising boards on compliance, and supporting public company transactions, including M&A. Remote and hybrid work options are available.

Qualifications

• 3–4 years of securities and capital markets experience.
• Strong drafting, analytical, and communication skills.
• Ability to manage multiple transactions in a fast-paced environment.

Responsibilities

• Prepare and review Exchange Act filings, including Forms 10-K, 10-Q, 8-K, and proxy statements.
• Represent issuers and underwriters in equity and debt offerings.
• Counsel public companies on stock exchange compliance and related securities law matters.
• Advise boards of directors and management on governance and disclosure issues.
• Prepare registration statements and SEC comment letter responses.
• Support public company transactions, including mergers and acquisitions.
