Job summary

JCW Group, a rapidly growing renewable energy firm, seeks a Renewable Energy Tax Attorney to support the legal and commercial teams on complex federal tax matters in a high-visibility role. You will provide tax advice on renewable energy transactions, advise on the federal income tax implications of tax credits, and structure tax equity financings, transferability transactions, and restructurings.

Qualifications

  • J.D. from an accredited law school and admission to at least one U.S. state bar.
  • Approximately 4-8 years of experience practicing federal tax law.
  • Strong experience advising on renewable energy transactions, tax equity financings, or project finance.
  • Deep knowledge of renewable energy tax credits, including Sections 45, 45Q, 45X, 45Y, 48, 48E, and transferability under Section 6418.
  • Experience with partnership taxation and transaction structuring.
  • Prior experience at a leading law firm or in-house at a renewable energy developer, investor, sponsor, or infrastructure platform.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to work directly with senior business leaders in a fast-paced, transaction-oriented environment.

Responsibilities

  • Provide tax advice on renewable energy transactions, including project acquisitions, dispositions, joint ventures, and restructurings.
  • Advise on the federal income tax implications of renewable energy tax credits, including the Inflation Reduction Act and related guidance.
  • Structure and negotiate tax equity financings, transferability transactions, partnership flip structures, and sale-leaseback arrangements.
  • Review and negotiate transaction documents, including purchase agreements, operating agreements, financing documents, and tax-related provisions.
  • Partner closely with development, finance, accounting, and commercial teams to support project execution.
  • Analyze new legislation, Treasury guidance, and IRS regulations impacting renewable energy incentives and communicate business implications.
  • Support due diligence for acquisitions and project financings, identifying tax risks and recommending practical solutions.
  • Coordinate with outside counsel, accounting firms, and financial advisors on complex tax matters.
  • Assist with tax planning initiatives designed to maximize available federal and state incentives.

As the business continues to expand through acquisitions, project development, and tax credit monetization, they are looking to add a Renewable Energy Tax Attorney to support the legal and commercial teams on complex federal tax matters.
