Responsibilities

  • Review purchase and sale agreements to docket critical dates and monitor progress.
  • Draft extension notices, amendments, consents, assignments, and org charts for PSA deals.
  • Prepare and format transaction documents and closing binders.
  • Review title commitments, surveys and draft title memos/objections to resolve defects.
  • Assemble signature packets, incumbency certificates, and legal opinions for closings.
  • Communicate with clients and external parties to advance transactions.
  • Obtain zoning letters, perform lien searches, and draft result summaries.
  • Handle entity formation, foreign registrations, EINs, and operating agreements.
  • Deliver closing documents post-closing and manage certificates.

McGuireWoods is seeking a Real Estate Paralegal to join its Atlanta office. This role will service a wide range of transactions and support an active commercial real estate practice. The ideal candidate will have at least 5 years of relevant experience, strong organizational and multitasking skills, and will embrace a team mentality.

Responsibilities
  • Reviews purchase and sales agreements to identify and docket critical dates; monitors and updates the docket as transactions progress
  • Drafts extension notices, amendments, consents, assignments, and organizational charts for PSA transactions
  • Drafts and formats transaction documents
  • Reviews title commitments and surveys; drafts title memos and title objection letters to resolve defects
  • Assembles signature packets, incumbency certificates, and legal opinions for closing
  • Communicates with clients and external parties to advance transactions and resolve open items
  • Retrieves property information, obtains zoning letters, orders lien searches, and drafts result summaries
  • Assembles and delivers closing binders to clients post-closing
  • Handles entity formation, foreign registrations, EIN procurement, and operating agreement drafting
  • Obtains entity certificates and certified entity documents
Qualifications
  • 5+ years of real estate legal experience
  • Expertise in title and survey review is required
  • Prior experience in managing complex projects or transactions, with a track record of meticulous document management, timeline construction, and proactive problem-solving
  • Demonstrated organizational, multi-tasking, and project management skills, with a proven ability to operate as a self-starter and exercise ownership over caseloads
  • Strong interpersonal and professional communication skills, with the confidence to actively interface and coordinate with court clerks, vendors, and other staff members
