The Career Associate path provides a long-term, non-partner-track position for attorneys seeking high-level legal work with flexible commitment expectations.

Duties:

Assist in structuring and executing a wide range of public finance transactions, including tax-exempt and taxable municipal bonds

Support financings involving government entities, 501(c)(3) nonprofits, and other qualified borrowers

Conduct legal research and analysis related to securities regulations, tax laws, and municipal finance matters

Draft transactional documents such as indentures, loan agreements, offering memoranda, and closing certificates

Participate in due diligence, deal negotiation, and closings

Collaborate with senior attorneys in responding to regulatory inquiries, audits, and enforcement matters

Contribute to complex matters such as public-private partnerships, secondary market products, and distressed municipal workouts

Requirements:

2-4 years of experience in public finance, securities, or a transactional legal practice

Demonstrated proficiency in drafting legal documents and reviewing due diligence materials

Admission to the bar in California or eligibility to waive in

Proven ability to manage competing deadlines, collaborate with diverse teams, and work in a fast-paced environment

Education:

Juris Doctor (J.D.) from an accredited U.S. law school

Certifications:

Active membership in good standing with a State Bar; California Bar membership preferred

Skills:

Strong written and verbal communication

Attention to detail with strong organizational capability

Familiarity with federal securities law and tax considerations related to municipal bonds (preferred but not mandatory)
