Job summary

EDPR North America DG LLC is seeking a Project Paralegal to support Counsel in managing legal matters and project documentation. You will draft and review project-related agreements, prepare confidentiality and NDAs, assist with EPC/BOP contracts, RFPs, acquisitions, financings, and oversee due diligence and data rooms.

Strong organizational, proofreading, and multi-tasking skills are essential for handling multiple projects and coordinating with different departments.

Qualifications

  • Bachelor's degree required or equivalent.
  • 6+ years of experience in energy, corporate, or finance law.
  • Paralegal certificate preferred.
  • Proficient in Microsoft Office and Adobe Acrobat.

Responsibilities

  • Perform substantive legal work under Counsel guidance.
  • Prepare drafts of confidentiality agreements, NDAs, and project-related agreements.
  • Review third-party agreements and assist Counsel with completion.
  • Proofread and follow instructions before distribution to parties.
  • Assist with EPC/BOP contracts, exhibits, and data gathering.
  • Support RFPs and procurement processes.
  • Assist with acquisitions/divestitures, including due diligence and data room prep.
  • Assist with financing transactions, including disclosure schedules and closing checklists.
  • Coordinate closing documents and distribute closing sets to Compliance and others.
  • Maintain tracking of incoming work requests and contracts for Project Counsel.

Job description

General Description

The Project Paralegal provides support to Counsel managing legal matters and documentation relating to EDPR North America DG LLC's projects and operations.

Main accountabilities
  • Perform assigned substantive legal work
  • Prepare drafts of documents including confidentiality agreements, non-disclosure agreements, construction services agreements, work orders, change orders, and other project-related agreements
  • Perform initial review of agreements received from third parties and assists counsel with their completion
  • Carefully follow instructions and proofreads work before sending to internal or external parties
  • Assist counsel with EPC/BOP contracts, including preparing exhibits and gathering information
  • Assist with requests for proposals (RFPs) and other procurement processes
  • Assist counsel with acquisition and divestiture transactions, both pre- and post-closing, including organization and review of due diligence documents and preparation of data room
  • Assist with financing transactions, including preparation of disclosure schedules, closing checklists, and similar documents
  • Prepare for transaction closings by assembling documents, creating checklists, coordinating with other departments, and ensuring distribution of closing sets to Compliance and other pertinent parties
  • Maintain awareness of incoming work requests and contracts, their status, and need for follow-up by Project Counsel
  • Maintain spreadsheet for tracking incoming work requests and contracts for Project Counsel and provides reports of tracking information as requested
  • Facilitate execution of documents by appropriate parties in accordance with specified delegations of authority
  • Provide administrative assistance with document preparation, file maintenance, and updating of the legal document forms library

Minimum qualifications
  • Bachelor's degree in a related field
  • 6+ years of experience in the energy, corporate, or finance area of a law firm or performing in-house legal services in a corporate environment
  • Paralegal certificate preferred
  • Proficient knowledge of Microsoft Office 2007 and Adobe Acrobat software
