Job summary

DLA Piper seeks a highly qualified Counsel to join its Palo Alto data protection, privacy and security practice. You will advise technology companies on privacy, AI governance and product counseling across the corporate lifecycle, collaborating with corporate, M&A, employment, and tech teams.

The ideal candidate has California privacy expertise, strong drafting/negotiation skills, and the ability to lead complex matters across multiple groups while delivering business-focused guidance.

Qualifications

• Minimum 8–15 years of privacy, cybersecurity, technology transactions, or regulatory counseling experience.
• Deep familiarity with California privacy laws, consumer privacy regulation, data security requirements, and emerging AI regulations.
• Experience advising technology companies, venture-backed startups, software/AI/cloud providers.

Responsibilities

• Advise technology companies on US and international privacy and data protection laws, including state statutes and global frameworks.
• Counsel on AI governance, responsible AI deployment, data use practices, and regulatory obligations.
• Draft, review, and negotiate privacy and data security provisions in tech and vendor agreements.
• Support high-growth companies from formation through exit, including privacy program development.
• Conduct privacy and cybersecurity diligence for financings, M&A, investments, and strategic transactions.
• Advise on incident response preparedness, regulatory investigations, breach notification obligations, and governance frameworks.
• Develop privacy notices, policies, data processing agreements, consent mechanisms, and internal governance docs.
• Partner with product, engineering, security, and leadership to embed privacy-by-design and AI governance into operations.
• Collaborate with other practice groups to deliver coordinated counsel to technology-focused clients.
