Job summary

Vector Legal in San Francisco, CA seeks a Paralegal to support corporate, transactional, and compliance work across a startup-focused practice. This role is highly operational, detail-oriented, and partners with attorneys to ensure workflows are executed accurately and efficiently.

You’ll work on entity management, financings, contract workflows, and due diligence, interfacing with internal systems and tooling in a fast-paced, process-driven setting.

Qualifications

• 2–6 years of paralegal experience in a law firm, in-house, or startup environment.
• Strong experience with corporate and transactional legal work.
• Proficiency in legal research, drafting, and contract management.

Responsibilities

• Support corporate legal work, including formations, governance, and entity maintenance.
• Prepare and manage filings (state filings, consents, compliance documents).
• Assist with financing transactions, including document preparation and closing coordination.
• Draft, review, and manage contracts and standard templates (NDAs, commercial agreements).
• Conduct legal research and summarize findings for attorneys and internal stakeholders.
• Organize and manage diligence materials, data rooms, and transaction documentation.
• Track key deadlines, obligations, and compliance across matters.
• Maintain records across cap tables, contracts, and corporate documents.

About the Role

We’re hiring a Paralegal to support corporate, transactional, and compliance work across our startup-focused legal practice. This role is highly operational and detail-oriented, working closely with attorneys and internal teams to ensure legal workflows are executed accurately and efficiently.

You’ll be involved across a wide range of matters, from entity management and financings to contract workflows and diligence, while also interfacing with our internal systems and tooling. The environment is fast-paced and process-driven, with a strong emphasis on precision, organization, and ownership.

What You’ll Do

• Support corporate legal work, including formations, governance, and ongoing entity maintenance
• Prepare and manage filings (e.g., state filings, stockholder/board consents, compliance documents)
• Assist with financing transactions, including document preparation and closing coordination
• Draft, review, and manage contracts and standard templates (NDAs, commercial agreements, etc.)
• Conduct legal research and summarize findings for attorneys and internal stakeholders
• Organize and manage diligence materials, data rooms, and transaction documentation
• Track key deadlines, obligations, and compliance requirements across matters
• Maintain accurate records across cap tables, contracts, and corporate documents
• Work within legal ops tools and internal systems to support scalable workflows

Qualifications

• 2–6 years of paralegal experience in a law firm, in-house, or startup environment
• Strong experience with corporate and transactional legal work
• Proficiency in legal research, drafting, and contract management
• Familiarity with legal ops tools and document management systems
• High attention to detail and strong organizational skills
• Ability to manage multiple matters and deadlines in a fast-paced environment
• Comfort working with ambiguity and taking ownership of processes
• Experience supporting startup or venture-backed companies preferred

The pay range for this role is:

85,000 - 140,000 USD per year (San Francisco, CA)
