Job Description:
The Paralegal will support the Nonprofit and Tax-Exempt Organizations practice group on a broad range of corporate, transactional, regulatory, and litigation matters. The role will involve assisting with tax-exemption applications, state charitable registrations, entity formations, federal and state regulatory filings, client and attorney presentations, transaction and litigation support, and monitoring significant legal and regulatory developments.
Responsibilities include:
- Assisting with federal and state government filings, including applications for recognition of tax-exempt status, state charitable registrations, and applications for authority to conduct business
- Supporting attorneys in transactional, regulatory and litigation matters, including by maintaining files, coordinating document submissions, assembling transaction closing materials, and developing and monitoring project plans
- Assisting with the drafting and filing of corporate documents relating to entity formations, amendments, mergers, dissolutions, and other corporate actions
- Monitoring relevant federal and state legal and regulatory developments, including at the IRS, Treasury Department and state attorneys general, and other governmental authorities
- Communicating with clients and third parties to collect documentation and track deliverables
- Assisting with the management and monitoring of court cases, regulatory matters, and filing deadlines
- Preparing presentation materials, including slide decks, for client and attorney meetings, conferences, training sessions, and other programs
- Proofing and editing documents
- Drafting cover letters and routine correspondence
- Handling other administrative and practice-support responsibilities as needed
Skills needed to be successful:
- Bachelor’s degree or equivalent experience and 3+ years working as a paralegal in a Non-Profits and Tax-Exempt Organizations practice group or a general Corporate practice group with Non-Profit and Tax Exempt experience. A candidate with litigation experience and a strong desire to learn the practice area should be encouraged to apply as well.
- The ideal candidate will be highly organized, possess excellent proofing and communication (oral and written) skills; the ability to multitask in a fast-paced environment; a very strong attention to detail; and a professional demeanor.
- Strong interpersonal skills with the ability to work closely and build relationships with lawyers, clients and staff to achieve results. Requires a high level of collaboration with attorneys and staff and the ability to exercise independent judgment.
- Strong computer skills including proficiency in Word, Excel, PowerPoint and using the internet is a must. Working knowledge of iManage or other filing databases and web technology would be beneficial.
