Job summary

NexPoint Capital, Inc. seeks a bright Investment Analyst to support its event-driven investment team with a focus on merger arbitrage. You will assist with deal analysis, financial modeling, regulatory risk assessment, and portfolio monitoring, contributing to investment memoranda and committee discussions.

The role requires a Bachelor's degree in a related field and 2–7 years in relevant areas. You will review deal materials, assess closing conditions, and monitor regulatory developments daily.

Qualifications

• Bachelor's degree in finance, accounting, economics, business, legal, or related discipline.
• 2–7 years of experience in merger arbitrage, event-driven investing, equity research, investment banking, private equity, corporate law, or related field.
• Working knowledge of merger agreements, SEC filings, transaction structures, and the M&A closing process.
• Understanding of antitrust review, securities regulation, shareholder voting requirements, and transaction-related litigation.
• Experience analyzing complex or cross-border transactions is beneficial.
• Strong quantitative, analytical, and problem-solving skills.
• Excellent written and verbal communication skills.
• High attention to detail and ability to thrive in a fast-paced environment.

Responsibilities

• Identify and analyze announced mergers, acquisitions, tender offers, exchange offers, and other strategic transactions.
• Review merger agreements, proxy statements, tender-offer documents, regulatory filings, financing commitments, and other transaction materials.
• Evaluate the principal conditions to closing, including shareholder approvals, financing requirements, regulatory clearances, litigation, and contractual obligations.
• Assess antitrust and regulatory risks involving the FTC, DOJ, HSR process, CFIUS, state regulators, the European Commission, the U.K. CMA, and other relevant authorities.
• Develop detailed transaction timelines incorporating regulatory filings, shareholder votes, financing periods, litigation milestones, and expected closing dates.
• Conduct downside analysis based on the target company’s undisturbed price, operating fundamentals, precedent transactions, valuation multiples, peer performance, and potential break scenarios.
• Apply and maintain the firm’s internal deal-risk scoring framework, updating assessments as transaction milestones are achieved or risks change.
• Prepare concise investment memoranda and present actionable recommendations to portfolio managers and the investment committee.
• Monitor portfolio transactions daily for regulatory developments, shareholder activity, litigation, financing updates, competing bids, and changes in market expectations.
• Communicate investment recommendations and findings to portfolio managers and other members of the investment team
