Job summary

Armanino is seeking a Financial Due Diligence professional to join our Transaction Advisory Services group in the United States. You will perform financial due diligence, prepare Quality of Earnings reports, and support deal teams across buy-side and sell-side engagements.

The role requires a BS in Accounting or Finance, at least 4 years in public accounting, strong Excel and PowerPoint skills, and solid US GAAP knowledge. CPA is preferred.

Qualifications

  • BS degree in Accounting, Finance, or another business-related field is required.
  • Minimum of 4 years’ experience in a public accounting firm and operational accounting role.
  • Prior Financial Due Diligence experience expected.

Responsibilities

  • Conduct Financial Due Diligence, including preparation of Quality of Earnings reports.
  • Work collaboratively with colleagues to serve clients in financial accounting matters and business processes: Purchase Price Accounting, Deal Structuring, and Integration & Support.
  • Prepare financial statements in connection with acquisitions, carve-outs, and proposed sale transactions.
  • Lead buy-side and sell-side transaction advisory engagements with private equity clients.
  • Coordinate with clients, Armanino engagement teams, and third-party diligence providers throughout the transaction process.
  • Analyze target data for historical and projected financial trends, quality of earnings, working capital, liabilities and risks affecting valuation and negotiation.
  • Create tailored transaction advisory reports on normalized earnings, valuation inputs, achievability of budgets, and indebtedness.
  • Lead and mentor staff with timely training and feedback.

Our Transaction Advisory Services practice focuses on the financial and tax due diligence pertaining to mergers, acquisitions, and divestitures. We are a national team that works with strategic private and public companies as well as private equity, across many industries.

Job Responsibilities
  • Conduct Financial Due Diligence, including preparation of Quality of Earnings reports
  • Work collaboratively with a diverse set of colleagues to serve clients in the areas of financial accounting matters and business processes: Purchase Price Accounting, Deal Structuring, and Integration & Support
  • Prepare financial statements, typically in connection with acquisitions, carve-outs, proposed sale transactions, restatements, etc.
  • Lead buy-side and sell-side transaction advisory engagements, providing financial and business due diligence assistance to companies and private equity investors with a focus on private equity deals.
  • Manage and coordinate approach of client,Armanino’sengagement teams, and third-party diligence providers throughout the transaction process.
  • Analyze target company data to identify historical and projected financial and operating trends, quality of earnings and working capital considerations, and potential liabilities and risks which impact the valuation and negotiation with the target company.
  • Create and design tailored transaction advisory reports specific to key issues such as normalized earnings, valuation model input assumptions, achievability of management’s budget, and indebtedness considerations.
  • Lead and manage projects while coordinating directly with clients Supervise and mentor staff or make timely and effective performance feedback and training
Requirements
  • BS degree in Accounting, Finance, or another Business-related field is required
  • Minimum of 4 years’ experience in a public accounting firm and operational accounting role
  • Prior Financial Due Diligence experience
  • Strong Excel and PowerPoint skills CPA is preferred
  • A strong and up-to date knowledge of US GAAP
  • Exceptional writing, communication, interpersonal, presentation, organizational, management, analytical, decision-making and research skills

Certain states require us to disclose the pay range and benefits summary for job openings. For Illinois residents, New York residents, and Southern California residents, the compensation range for this position: $129,000 - $175,800. Compensation may vary based on skills, role, and location. Eligible employees at certain levels can participate in a discretionary long-term financial incentive plan, subject to plan participation rules.
