Qualifications

  • Strong technical U.S. federal tax Subchapter C background.
  • 4+ years combined U.S. M&A and federal tax experience.
  • Experience with large public firms or large multinational corporations.

Responsibilities

  • Assist with M&A due diligence, reviewing target financial and tax data.
  • Conduct scenario planning for acquisitions and internal restructurings.
  • Perform IRC 382 analyses and compute limitations for acquired loss companies.
  • Evaluate asset vs. stock acquisitions and compute basis for subsidiaries/partnerships.
  • Interact with business units, legal, and external advisers on reorganizations.
  • Perform due diligence related to IRC sections 332, 351 and tax-free liquidations.
  • Determine required income tax disclosures for closed transactions.
  • Lead projects to timely, successful conclusions and provide memo summaries.
