Qualifications

• Bachelor's degree in finance or accounting or a graduate degree with 4 years of related work experience.
• 5+ years of work experience in a mid to large size professional services firm.
• CPA or JD/LLM required.
• Tax due diligence, deal structuring and post-acquisition planning experience and/or inbound/outbound transaction consulting.
• Strong written communication and demonstrated analytical, problem-solving and project management skills.

Responsibilities

• Interact directly with Partners on matters related to client and engagement management.
• Modeling financial transactions to be used in valuation, structuring and negotiation.
• Prepare detailed memoranda and presentations describing key attributes of client companies and industries.
• Assist in the review and analysis of the tax aspects of acquisition and merger agreements and draft tax opinions.
• Identify tax risks and opportunities while advising on alternative tax strategies for acquisitions, dispositions and restructuring.
• Review and advise on tax computations in financial models and assist in tax data analysis for transactions.
• Data gathering, document review and preparation of reports.
• Due diligence for buy side and sell side transactions; transaction structuring for tax and accounting issues.
