About the Opportunity:
This role plays a critical part in the transaction lifecycle, supporting both buy-side and sell-side engagements. The M&A Tax Manager will be responsible for conducting tax due diligence, advising on tax-efficient deal structures, and providing strategic tax consulting to clients across a variety of industries including Technology, Healthcare, Manufacturing & Distribution, Construction, and Business Services.
Key Responsibilities
- Conduct tax due diligence for mergers and acquisitions (buy-side and sell-side)
- Advise clients on tax-efficient transaction structures and planning strategies
- Analyze proposed transactions for tax implications and risks
- Perform financial modeling to assess tax consequences
- Interpret complex legislative and regulatory tax issues
- Support clients with IRS submissions, including private letter rulings and technical advice
- Mentor and develop junior team members
Qualifications
- Minimum 3 years of experience in federal tax and/or M&A within a public accounting firm, corporate tax department, or law firm
- Bachelor’s degree required; CPA, JD, LLM in Taxation, or MST preferred
- Strong knowledge of corporate tax matters across various industries
- Proven ability to manage multiple engagements and client relationships
- Excellent research, analytical, and written communication skills
- Demonstrated critical thinking and problem-solving abilities
- Competitive salary: $121,000 – $155,000 annually
