M&A IT Diligence Manager

Our Deloitte Strategy & Transactions team helps guide clients through their most critical moments and transformational initiatives. We offer comprehensive end-to-end support and advisory services, covering areas such as valuation modeling, cost optimization, restructuring, business design and transformation, infrastructure and real estate, mergers and acquisitions (M&A), and sustainability. The team works closely with clients at every stage of their journey, helping them navigate challenges, avoid financial pitfalls, and implement practical solutions before, during, and after major transformational projects or transactions creating lasting impact.

IT Diligence is part of Deloitte’s M&A Transaction Strategy and Diligence (TS&D) Offering, within our broader Strategy & Transactions practice. Our IT and Product Technology Diligence Specialists are focused on delivering successful, informed business decisions by identifying the key IT and software risks and opportunities associated with the most challenging M&A transactions.

Work You’ll Do

As an M&A Manager on the IT Diligence team, you will be responsible for…

• Lead M&A IT diligence discussions with client and target-company stakeholders to assess IT organizations, processes, applications, infrastructure, cloud technology, and cybersecurity.
• Identify IT risks, technical debt, IT maturity gaps, costs, and value-creation opportunities; assess data, infrastructure, and integration architecture; and recommend actions for acquisition, divestiture, and post-merger activities.
• Analyze IT cost and financial data using benchmarks and proprietary tools; develop cost estimates, synergy analyses, contract analyses, and one-time and recurring cost models.
• Create and oversee diligence work products, including agendas, data request lists, interview guides, findings, transition service agreement schedules, roadmaps, and client deliverables.
• Serve as the day-to-day contact for executive clients, present findings, coordinate subject matter advisors, and lead delivery teams to meet quality and timeline commitments.
• Develop scope statements and pricing estimates; support proposal development and client growth efforts; coach team members; and contribute to recruiting and practice knowledge sharing.

The Team

M&A advises corporate and PE clients across inorganic growth/divestiture scenarios through M&A strategy, diligence, integration/separation planning and execution, financial and modeling services, and transaction financing.

Deloitte’s M&A IT team focuses on the technology considerations that shape transaction outcomes. The team assesses applications, infrastructure, cybersecurity, product technology, data, and information technology operating models to identify risks, cost implications, separation and integration considerations, and opportunities to create value. Practitioners work across the deal lifecycle and collaborate with broader M&A teams to help clients align diligence findings to the investment thesis and post-close priorities. Part of this team, known as IT Diligence, focuses on transaction diligence and execution. The IT Diligence team enables efficient, effective due diligence across IT, allowing our clients to focus on strategic priorities. They help identify technology risks, value drivers, and synergy opportunities for acquisitions and divestitures, supporting value creation and post-deal success.

Qualifications:

Required:

• 6+ years of experience in information technology (IT) across at least four of the following areas: IT organization, IT processes, applications, infrastructure, cloud technology, and cybersecurity.
• 6+ years of experience synthesizing data, identifying risks and value-creation opportunities, and developing assessment findings for M&A transactions or due diligence engagements.
• 5+ years of experience presenting findings in verbal, written, and analytical formats as part of an M&A diligence effort.
• Completion and delivery of 20+ IT due diligence projects for strategic or financial clients.
• Bachelor’s degree and 6+ years of consulting or industry experience, or a Master of Business Administration and 4+ years of work experience.
• Ability to travel 50%, on average, based on the work you do and the clients and industries/sectors you serve.
• Limited immigration sponsorship may be available.

Preferred:

• Master of Business Administration or advanced degree in technology; 5+ years of consulting experience; 3+ years of M&A consulting experience; and 6+ years of IT operations experience.
• Experience leading digital transformation projects involving enterprise resource planning systems, cloud platforms, infrastructure, or custom-developed technologies.
• Experience leading IT activities before and after mergers, acquisitions, divestitures, or integrations.
• Experience with lead responsibility for delivering 30+ IT diligence projects for strategic or financial clients.

The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets; experience and training; licensure and certifications; and other business and organizational needs. The disclosed range estimate has not been adjusted for the applicable geographic differential associated with the location at which the position may be filled. At Deloitte, it is not typical for an individual to be hired at or near the top of the range for their role and compensation decisions are dependent on the facts and circumstances of each case. A reasonable estimate of the current range is $155,600 to $306,800.
