MW Law is a dynamic and growing boutique firm serving investors, operators, and acquirers in middle-market and lower middle-market transactions. We are seeking an experienced transactional attorney to lead buy-side and sell-side M&A engagements from kickoff through closing and post-closing follow-through. This is a deal ownership role: you are the primary attorney on your matters, sitting directly across from the client rather than behind another lawyer.
You can expect to carry multiple active matters at a time, with the number varying by deal size, timing, and complexity. Transactions generally fall between $2 million and $50 million+ in enterprise value, SBA and non-SBA financed, structured as both asset and stock deals. You will have meaningful autonomy, direct client relationships, and clear accountability for results, supported by our team.
Key Responsibilities
- Lead client kickoff calls and set the strategy for each transaction.
- Advise on deal structure, risk allocation, and negotiation posture.
- Identify material issues early and guide clients through decisions in real time.
Drafting and Negotiation
- Prepare and negotiate asset purchase agreements, stock purchase agreements, disclosure schedules, escrow agreements, seller notes, equity rollover documentation, and related ancillary agreements.
- Negotiate directly with opposing counsel.
- Own the issue list from first draft through final resolution.
- Manage diligence workflows and issue spotting across each matter.
- Prepare diligence memoranda and risk summaries for clients.
- Coordinate with our in-house general corporate team and third-party advisors on diligence support.
Closing and Post-Closing
- Drive closing execution and manage all deliverables through the signature page.
- Coordinate lenders, including SBA lenders, along with accountants and opposing counsel, on timing.
- Handle post-closing obligations and see them through to completion.
Qualifications
- 5-10 years of transactional experience, including deals you have run independently from kickoff through closing.
- Proven ability to manage complex, high-stakes matters in a high-volume, deadline-driven environment with little supervision.
- Ownership of outcomes rather than assigned tasks, and the judgment to know the difference.
- Ability to elevate associates and paralegals and to collaborate across matters.
- Bar admission (ideally in Texas, or the ability to become licensed in Texas within a reasonable time frame); JD from an accredited law school.
- Exceptional written and verbal communication skills.
- Client-focused demeanor and problem-solver, with a genuine interest in continuous learning, professional growth, and candid performance feedback.
Preferred Experience (not required)
- SBA-financed transactions.
- Big Law or sophisticated boutique background.
