Job summary

Direct Counsel is seeking a Mergers & Acquisitions Associate Attorney with 3–6 years of experience to join a leading global law firm and its highly regarded Mergers & Acquisitions practice. Boston or New York locations.

The ideal candidate will manage sophisticated M&A transactions for public and private companies, oversee due diligence, draft and negotiate transaction documents, and advise clients on legal risks and deal structures while coordinating with internal and external teams.

Qualifications

• 3–6 years of demonstrated M&A experience at a large law firm.
• Strong knowledge of contract and securities law and regulatory frameworks.
• Excellent analytical, organizational, research, and problem-solving skills.
• Strong written and verbal communication abilities.

Responsibilities

• Represent public and private companies in sophisticated M&A transactions.
• Lead due diligence reviews and analyze financial statements and contracts.
• Draft and negotiate merger agreements, asset purchase agreements, confidentiality agreements, and other documents.
• Coordinate due diligence processes and manage multiple transactions and deadlines.
• Advise clients on deal structures and legal risks, communicating with stakeholders.
