Licensed to practice in Rhode Island and willing to commute to Providence, RI, you will draft and negotiate merger agreements, review transactions, and advise on corporate formations and governance as part of a dynamic team.

Qualifications

• 2-5 years of verifiable Mergers & Acquisitions experience.
• Experience in joint ventures and capital raises, preferably in commercial real estate.
• Strong oral and written communication skills.
• Knowledge of laws, rules, and court procedures.
• Ability to handle sensitive matters confidentially.

Responsibilities

• Draft, review, and negotiate merger agreements, stock purchase agreements, and related documents.
• Engage internal stakeholders to review and mitigate transaction risks.
• Provide regular reports on deal status, including regulatory approvals and key issues.
• Advise emerging and growth companies on corporate formations and governance.
• Assist in mergers and acquisitions by drafting documents and coordinating closings.
• Conduct due diligence reviews.
• Review, revise, and negotiate commercial contracts.
