Job summary

Adobe is seeking an attorney to fill the role of Legal Counsel on the North America Digital Experience Licensing Team, based in Lehi, Utah. This attorney will handle complex commercial contracts, including enterprise software and SaaS licensing, negotiate strategic transactions, and support Sales and Sales Management.

The ideal candidate holds a JD with active bar membership and 2-5 years of licensing contract experience, with strong writing and collaboration skills.

Qualifications

• 2-5 years experience drafting and negotiating complex contracts (preferably technology or licensing agreements).
• Ability to work well as part of a diverse team and maintain a positive, problem-solving, business-focused demeanor with the ability to prioritize workload in a fast-paced environment.
• Ability to work with limited guidance and work independently.
• Role allows remote work 2-3 days per week, requiring self-motivation and schedule management.
• Ability to understand, draft, review and negotiate license, professional services and other commercial agreements, including NDAs, pre-release, services, SOWs, resale, distribution, sales and licensing agreements.
• Provide general commercial legal support to various business units, including in-house training on key legal areas when appropriate.
• Ability and willingness to train new attorneys or outside counsel.
• Strong technical writing skills, with interest/experience in the software/IT industry.
• Strong social skills and project coordination abilities.
• Customer-friendly and an excellent teammate with limited travel within the United States as required.

The Opportunity Adobe is looking for an attorney to fill a position as Legal Counsel on the North America Digital Experience Licensing Team. This position will be based out of Adobe's Lehi, Utah office.

What you'll Do

• This attorney will be handling complex commercial contracts, including enterprise software & SaaS licensing agreements.
• This attorney must be prepared to negotiate and drive strategic transactions, and handle a significant volume of sales/revenue agreements.
• This attorney provides counsel to Sales and Sales Management.

What you need to succeed

• A Juris Doctor degree and active bar membership in any state bar.
• 2-5 years experience drafting and negotiating complex contracts (preferably technology or licensing agreements).
• To be able to work well as part of a diverse team and have a positive, problem solving, and business focused demeanor with the ability to prioritize workload appropriately in a fast-paced environment.
• To be able to jump into the work with limited guidance and work independently.
• This position will allow candidate to work remotely 2-3 days per week, if desired, so the ability to self motivate and manage schedules and workloads is crucial.
• The ability to understand, draft, review and negotiate a variety of license, professional services and other commercial agreements and documents, including non-disclosure agreements, pre-release agreements, services agreements as well as statements of work, resale, distribution, sales and licensing agreements.
• The ability to provide general commercial legal support to the various business units, including preparing and delivering training in-house, when appropriate, on key legal areas of interest.
• The ability and willingness to train new attorneys or outside counsel.
• Good technical writing skills, as well as a keen interest in and some experience with the software/IT industry.
• Strong social skills, along with the ability to coordinate projects.
• To be customer-friendly and an excellent teammate and the ability to travel within the United States on a limited basis, as required.

Expected Pay Range:

The U.S. pay range for this positionis $126,700 - $230,700 annually. Paywithin this range varies by work locationand may also depend on job-related knowledge, skills,and experience. Your recruiter can share more about the specific salary range for the job location during the hiring process. At Adobe, for sales roles starting salaries are expressed as total target compensation (TTC = base + commission), and short-term incentives are in the form of sales commission plans. Non-sales roles starting salaries are expressed as base salary and short-term incentives are in the form of the Annual Incentive Plan (AIP). In addition, certain roles may be eligible for long-term incentives in the form of a new hire equity award.
