Job Description: In-House Legal Counsel (US West / California)
Reporting to: Regional Legal Lead
Location: Carson, California, United States
Coverage Region: United States, Canada, and South America, with a primary focus on West Coast operations and cross-border Americas initiatives
1. Contract Management & Transactional Support
Independently draft, review and negotiate a broad range of logistics and commercial agreements for US operations, including domestic and international transportation contracts (governed by Carmack Amendment, COGSA, Hague-Visby Rules as applicable), warehousing and logistics service agreements, supplier agreements, SLAs, and sales/purchasing contracts.
Ensure all contractual documents comply with applicable federal, state and local laws, international rules and internal risk management policies.
2. Regulatory Compliance & Advisory
Provide legal compliance support and risk assessment for US projects and daily operations. Depending on your background, you will focus on one or more of the following areas, with support from internal and external specialists:
Employment & Labor: California Labor Code, wage and hour compliance, independent contractor classification, workplace safety (Cal/OSHA), and general employment law
Data Protection: US federal and state privacy laws, including CCPA/CPRA, and general data governance
Trade & Anti-corruption: US customs regulations, export controls (EAR, ITAR), trade sanctions (OFAC), and anti-bribery (FCPA)
ESG & Regulatory: environmental compliance, sustainability reporting and other industry-specific regulatory requirements
Support market entry procedures, license applications, regulatory filings, and coordinate with local external counsel and authorities on inquiries and inspections.
Conduct legal risk assessments for innovative business models, including last-mile delivery solutions and cross-border e-commerce schemes.
3. Corporate Governance & Policy
Establish and continuously optimize internal legal policies, governance frameworks and internal control mechanisms for US entities.
Manage corporate entity compliance, including statutory records, annual filings, post-acquisition integration and standardized governance of subsidiaries.
Administer internal authorization systems (director appointments, powers of attorney, signing authority matrix) to standardize decision-making.
Develop and iterate contract approval processes; deliver regular legal training to operations, sales, finance and other cross-functional teams.
4. Risk & Dispute Resolution
Identify, evaluate and mitigate operational legal risks; formulate risk mitigation solutions regarding liability limitation, insurance coverage and indemnification arrangements.
Develop and maintain risk control frameworks and dispute resolution guidelines.
Lead and coordinate the resolution of commercial claims, disputes, arbitration and litigation; collaborate with external lawyers and provide strategic recommendations to senior management.
1. Active California Bar membership is a plus.
2. Proficiency in Mandarin Chinese.
3. Familiarity with logistics industry business models and standard practices.
4. Strong business acumen and cross-cultural communication skills, able to balance risk control with business growth.
