Qualifications

• J.D. from an accredited law school.
• 4+ years of sophisticated corporate transactional experience.
• Significant M&A and/or private equity experience.
• Ability to manage transactions with limited supervision.
• Experience supervising junior attorneys.

Responsibilities

• Lead and manage transaction processes from structuring through closing.
• Oversee complex due diligence.
• Draft and negotiate purchase agreements, merger agreements, governance documents, financing agreements, and related documents.
• Advise private equity sponsors and portfolio companies throughout the investment lifecycle.
• Coordinate with clients, opposing counsel, investment bankers, accountants, and other advisors.
• Manage multiple sophisticated transactions simultaneously.
• Supervise and mentor junior attorneys and support staff.
• Develop strong client relationships and participate in business development.
