Job summary

Our Am Law 100 client seeks a Labor & Employment Transactional Associate to join its nationally recognized Labor & Employment practice at the intersection of employment law, corporate transactions, private equity, and executive compensation.

The associate will work closely with corporate, private equity, and executive compensation teams to advise clients on employment-related transactional matters, including due diligence, drafting and negotiating employment agreements, mobility, and

Qualifications

• J.D. from an ABA-accredited law school required.
• 3–6 years of labor & employment or transactional experience at a law firm.
• Experience supporting mergers & acquisitions or private equity transactions is preferred.
• Experience with employment diligence and executive compensation matters.
• Strong drafting experience involving employment agreements, separation agreements, and restrictive covenants.
• Excellent analytical, drafting, negotiation, and communication skills.
• Outstanding academic credentials.
• Ability to manage multiple sophisticated matters in a collaborative, fast-paced environment.
• Strong client service skills and business judgement.

Responsibilities

• Supporting labor and employment due diligence for mergers, acquisitions, and private equity transactions
• Drafting and negotiating executive employment agreements, separation agreements, and restrictive covenant agreements
• Advising clients on executive mobility, non-competition, non-solicitation, and confidentiality matters
• Counseling clients on employment risks associated with corporate transactions
• Assisting with post-closing workforce integration and executive transition planning
• Working directly with corporate deal teams, private equity sponsors, and senior business leaders on strategic employment matters
• Providing practical legal guidance on complex employment issues impacting transactions and business operations

Rather than focusing on traditional employment litigation, this practice advises corporate clients, private equity sponsors, and executive leadership teams on employment issues that arise in connection with mergers and acquisitions, strategic investments, executive mobility, and other high-value business transactions.

Role Overview
