Job summary

AITS Corporation in Washington, D.C. area seeks a Director of Governance and Compliance to lead legal, regulatory, and institutional integrity efforts. The role balances federal advocacy with hands-on compliance execution and oversees government contract compliance, budgeting, and governance programs.

The successful candidate will manage internal and external counsel, coordinate with HR for policy alignment, and ensure adherence to federal and state laws across contracts and employment matters.

Qualifications

• JD and active bar membership.
• 8+ years in legal, GovCon compliance, or regulatory roles.
• Collaborative mindset enabling business growth, not blocking progress.

Responsibilities

• Serve as internal SME on FAR/DFARS and agency requirements.
• Advise leadership on regulatory shifts and sovereign grade strategy.
• Provide practical guidance on regulatory risk and contract obligations.
• Design and implement a scaling compliance framework for a high-security contractor.
• Create and enforce a centralized governance calendar for deliverables and certifications (e.g., CMMC).
• Draft and review policies, codes of conduct, and procedures with HR alignment.
• Coordinate with outside counsel; manage budgets and deliverables.
• Support HR in risk mitigation, investigations, and compliance with federal/state laws.
• Advise on subcontractor agreements and third-party risk.
• Support audits (DCAA/DCMA) to ensure compliance integrity.
