Job summary

Foley Hoag LLP seeks a corporate paralegal for the Business Department in Denver. The role supports corporate transactions and/or corporate legal departments with a focus on accuracy, priority management, and collaboration with attorneys and clients.

Required are 4–8 years as a paralegal and demonstrated experience with corporate work, closings, and diligence in a mid‑ to large‑firm or in‑house setting. This hybrid position requires 60% in‑office presence in Denver.

Qualifications

• 4-8 years of experience as a paralegal required, with corporate focus preferred.
• Experience supporting corporate transactions or corporate legal departments is preferred.
• Strong communication and interpersonal skills; able to coordinate with attorneys, paralegals, and clients.
• Ability to work independently and balance competing priorities in a professional, detail‑oriented environment.

Responsibilities

• Prepare, file, and manage entity formation documents for various entities.
• Maintain corporate minute books including charter documents and board approvals.
• Update ownership records including capitalization tables using Carta, Pulley, or Excel.
• Support closings for equity/debt financings, M&A, fund formations, and other transactions.
• Assist with due diligence production and review for corporate transactions.
• Research and file state and federal corporate filings and securities amendments.
• Prepare UCC filings, including lien search summaries.
• Maintain and organize client files and transaction workrooms.
• Perform additional tasks as requested by attorneys and clients.
