Job summary

Watts & Associates Recruitment, in partnership with a national Am Law 100 full-service firm in Houston, TX, seeks an M&A/Energy & Infrastructure Associate with 4–7 years' substantive corporate M&A experience. You will represent clients in domestic and cross-border transactions, draft and negotiate agreements, and coordinate cross-functional teams to close complex deals.

Qualifications

• Approximately 4–7 years of substantive corporate M&A experience.
• Experience handling domestic and cross-border M&A transactions.
• Strong drafting, analytical, organisational and problem-solving skills.
• Ability to manage multiple workstreams and meet deadlines.
• Admission in the relevant office jurisdiction, or eligibility to waive in promptly.
• Experience in a sophisticated law-firm environment.

Responsibilities

• Represent public and private companies, investors and strategic buyers in mergers, acquisitions and dispositions.
• Draft and negotiate purchase agreements, ancillary documents, governance arrangements and transaction materials.
• Manage due diligence, signing and closing processes and coordinate multidisciplinary teams.
• Support joint ventures, restructurings and corporate-governance matters as required.
• Coordinate with attorneys and professionals across related practice areas and offices.
